Statement of the National Security Office on Section 2(e)(12) of Act No 412/2005 (hereinafter referred to as the "Law")

The provision reads as follows:

'12. for legal persons other than those referred to in points 6 to 10, the statutory body; if, in accordance with a special legal regulation8), several persons acting on behalf of these other legal entities are statutory bodies, or a person who is not a statutory body, then only the one of them who is entrusted with acting in matters governed by this Act shall be the responsible person..

The provision in the part before the semicolon contains a general rule, The responsible person is the statutory body.

The first part after the semicolon describes the situation when a legal person acts according to a special regulation of several persons, all of which these persons are the statutory body.

The second part after the semicolon describes the situation when the legal person acts a person who is not a statutory body.

For both parts of the semicolon, the condition applies that the responsible person can only be a person authorized in writing to act in matters according to the law.

The responsible person can therefore be:

  1. if the statutory body is 1 person and if there is no situation described after the semicolon then this statutory body,
  2. if the statutory body is one person and there is a situation under the second part after the semicolon, then this statutory body or a person who is not a statutory body but meets the condition that it acts on behalf of a legal person under a special legal regulation and is entrusted in writing with acting in matters under the law,
  3. if the situation referred to in points 1 and 2 is not possible, both options may be considered according to the semicolon section, depending on the specific situation and the choice (decision) of the competent authorities of the legal person.


Overall summary

  1. Statutory body – individual or
  2. A person who is a member of the statutory body and acts on behalf of a legal person in accordance with a special legal regulation and is authorised in writing to act in matters laid down by law; or
  3. A person who is not a statutory body but is authorised to act on behalf of a legal person and is authorised in writing in matters laid down by law.
